TERMS AND CONDITIONS OF USE
By accessing any webpage or using any service or completing an offline registration form provided by BILLYGOLD MULTIMEDIA COMPANY and/for BOXGRAPHICS.com.ng (each, a “Service“) as a User or by signing up as a Subscribed or Member User (each a “User”) of any Service, you agree to be legally bound by these Terms of Use (these “Terms“), including those terms and conditions incorporated by reference. We may revise these Terms at any time by updating this posting. You should visit this web page periodically to review these Terms of Use because they are binding on you.
BILLYGOLD MULTIMEDIA COMPANY and BOXGRAPHICS.com.ng is sometimes referred to in these Terms using the terms “us”, “we”, “our” and similar terms. References herein to a Service shall be deemed to include all text, images, photographs, user interface, “look” and “feel”, data and other content related to such Service wherever the context of the applicable reference so warrants.
You acknowledge and agree that we shall have the right (but not the obligation) in our sole discretion, to pre-screen, refuse or remove any Design Process, Requests and/or User provided content that violates these Terms or is otherwise objectionable, including, without limitation, projects or content that are illegal, obscene, indecent, pornographic, defamatory, incites religious, racial or ethnic hatred, or violates the rights of others. Activity that is brought to our attention which appears in our sole judgment to violate the law will be brought to the attention of the proper authorities. You acknowledge, consent and agree that we may access, preserve, and disclose your account information and content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any content violates the rights of third-parties; (d) respond to your requests for customer service; or (e) protect our rights, property, or safety of the rights, property, or safety of our users or the public.
BOXGRAPHICS TERMS OF USE
1. Definition, Description, Services, Service Modes and Benefit Terms
(A) DEFINITIONS

DESIGN BRIEF: A detailed graphic concept requisition created and submitted by User instructing our CREATIVE TEAM on what Graphic Design(s) that needs to be processed.

REVIEW BRIEF: An additional requisition created and submitted by User, instructing our CREATIVE TEAM to carry out more specific work on an already developed concept or design which can either be an INITIAL or a REVIEWED DESIGN.

INITIAL DESIGN: The first concept(s) of any Graphic Design(s) developed by our CREATIVE TEAM to a User’s specification for the User’s REVIEW.

REVIEWED DESIGN: Any other concept(s) or adjustment(s) to a concept(s) of any Graphic Design(s) developed by our CREATIVE TEAM after the INITIAL DESIGN has been created and reviewed.

FINAL DESIGN: The Final product or result of processing any Graphic Design(s) selected by a User. This is the end point of all Design Processes which Starts with the creating of a Design Brief.

DESIGN PROCESS: This is a flow or process involved in the successful creating or developing of Concept(s) of any Graphic Design. It starts with a DESIGN BRIEF, this produces an INITIAL DESIGN. The process then moves to the REVIEW stage or process, where REVIEW BRIEF & REVIEWED DESIGN is submitted & created by User and us respectively, to move the Design Process in a forward direction (if need be). Then a request for FINAL DESIGN (to be made by User, if satisfied with a recently developed & uploaded REVIEWED DESIGN) is made. The process ends successfully when the uploaded Final Design has been downloaded by User.

REVIEW PROCESS: A process within a Design Process in which a user submits a Review Brief stating changes that need to be made to an INITIAL Design or a REVIEWED Design that is developed and uploaded by the Service for the User’s Review and so on. It starts when an INITIAL Design has been uploaded by Our Team. It can, however, be skipped, if/when the INITIAL Design uploaded by the Our Team is accepted by a User without question.

COMPLETE DESIGN PROCESS: A design process is termed as complete or successful if/when FINAL DESIGN has been downloaded by its User.

INCOMPLETE DESIGN PROCESS: A process is termed as incomplete or unsuccessful if/when a design process is/has been canceled by User for any reason before requesting for a FINAL DESIGN.
(B) DESCRIPTION
BOXGRAPHICS is a service in which we provide online graphic service where individuals or corporate bodies (each a “User” also referred to as “Users”, “You”, “Your”, “they” in this Terms) can submit specific requirement descriptions, including illustrative samples, written articles, sketches, images, and other documents or media files (all of which makes a “Design Brief“), revise those Design Briefs (each, a “Review Brief“) and obtain Design Concept(s) (each, a “Design“, either “INITIAL, REVIEWED or FINAL Designs” depending on the stage of a “Design Process”) to those Design or Review Briefs from a “CREATIVE TEAM” retained by us or otherwise affiliated with us or our Service (“Members“). We will provide you, as the User, with your selected Graphic Design(s) Service (each a “Service”) according to your preferred Service Mode PayPro or Premium (each a “Service Mode”) which are detailed in Section 1(f). Your Designs (INITIAL, REVIEWED or FINAL DESIGN) will be created in a frequentative approach, through a drafting cycle of Design Briefs, Review Briefs and Designs (INITIAL Design first and then REVIEWED Designs afterward), ultimately resulting in a FINAL Design conforming to your various Design and Review Briefs.
Refer to 1(f) below for an explanation of all BOXgraphics Service and Service Modes.
(C) DESIGN BRIEFS AND REVIEW BRIEFS.
You are solely responsible for creating and submitting a detailed description of each of your Design or Review Briefs as permitted by this Service, including providing samples illustrating your Briefs and any relevant Information you would like to add. Anytime you create and submit a Design or Review Brief you MUST MAKE SURE THAT YOU OR THE PARTY YOU ARE REPRESENTING HAVE A COPYRIGHT LICENSE FOR ALL MATERIALS (PHRASES, SENTENCES, QUOTES, WRITE-UPS, IMAGES, LOGOS, SKETCHES, ILLUSTRATIONS, SAMPLES, LINKS, DOCUMENTS OR OTHER MEDIA OR DIGITAL FILES) THAT ARE/IS BEING SUBMITTED WITH THE BRIEFS. We will not be responsible for any infringements caused by the submitting of any material in your Design or Review Brief. We may decide in our sole discretion and without your prior permission to use FREELY, any of the Designs (INITIAL, REVIEWED or FINAL Designs) created for you, for commercial and advert purposes, whether online, offline, in print and in any other publications of any sort as we dim fit, for the promotion of any of our business and/or services. You are solely responsible for the accuracy and completeness of information, quality or clarity of all the materials provided or submitted with any of your Brief (Design or Review), and we are under no obligation to review, correct, make changes, adjust, or re-edit, any write up or images submitted with a Design or Review Brief for any purpose. We are only responsible for creating or developing graphics concepts using the information you have provided us with, the way you have provided them. We may decide, in our sole discretion, to deny, refuse or reject a Design or Review Brief at any time for any reason best known to us.
(D) REVIEWING DESIGNS (INITIAL OR REVIEWED)
You are responsible for reviewing any Design you receive. If you fail to promptly inform us that a Design is not reasonably responsive to the related Design Brief, you will be deemed to have accepted the Design. If you notify us that you think a Design is not reasonably responsive to the related Design Brief, you shall then submit to the Service a Review Brief containing information regarding amendments or modification to be made to the INITIAL Design. After you provide us with a Review Brief, you may receive a REVIEWED Design through the Service that conforms to the additional criteria you requested. We are not responsible for the content of Designs (INITIAL or REVIEWED), they are developed to the extent that such Design (INITIAL or REVIEWED) are prepared to conform to your Design or Review Briefs.
(E) REVIEW PROCESS
Review Process generally consists of additional compositions that incorporate changes you request in a Review Brief. The purpose of the Review process is to create REVIEWED Design that moves your Design Process forward in the specific direction you have determined. You may request significant changes in the first and second Review Process, and the REVIEWED Design generated might be quite different in nature from the INITIAL Design that was created. By the third Review Process request, your requests for your Review Brief shall be modifications of the current composition or Concept(s) of your Graphic Design only. This will be the same for the fourth and fifth Review Processes. Review Brief requests that depart from the then-current Graphic Design composition, after the third Review process will be honored and completed in a timely manner, however; we reserve the right to charge NGN1, 000 for each of such Reviews, especially after the fifth Review Process. No Review Process, which requires payment, will be started without your authorization.
(F) SERVICES & SERVICE MODE
BOXgraphics provides Graphic Design Request and Print Invoice Request Services.

A Graphic Design Request Service is initiated when you create and submit a Design Process Request for either a Logo or any other Graphic Design(s) within the Portal, by selecting a type of Graphic Design Process or Plan (as the case may be), indicate your required Number of Concepts, Pages, Creatives, Frames, Slides or Media Sizes, and select your required Graphic Formats for the Graphic Design that you wish to process. This Request will be complete and start processing only when a Design Brief has been created for it, a Process Mode – PayPro or Premium – (each a “Service Mode”) has been selected for it while creating or before submitting the Design Brief, and the Request has been confirmed for processing, by making a Process Commitment Fee (PCF) for PayPro Mode or Assigning a required Graphic Units (GU) for Premium Mode. Design Process (as describe in 1(b) above) begins on successful confirmation of Design Request.

A Print Invoice Request Service is initiated when you create and submit a Print Order requesting for a quote or Invoice within the Portal, by selecting a desired Print Product, selecting a preferred production effects, selecting a preferred finishing effects, indicating the required quantity for the production, providing the delivery details for the finished product and choosing Design Submission Mode – BOXgraphics Design or User Uploaded Design – (each a “Service Mode”). Invoice requests are incomplete until the Design (BOXgraphics or Uploaded) has been confirmed by you to be sure that the BOXgraphics design you are referencing or the Uploaded design is what you want for the Order, and a Payment has been made for the resulting Invoice (made available by in the Portal with an Hour). Print Production begins on successful confirmation of the Print Invoice Request.
Graphic Design Services runs in 2 Service Modes which are PayPro and Premium.
Printing Services runs in 2 Service Modes which are either a BOXgraphics Design or Your Uploaded Design.

(I) BOXGRAPHICS PAYPRO MODE:
By using BOXgraphics in PayPro mode you agree to the Processing Terms below:
DESIGN PROCESSING
For every Design Brief, you create and submit you are entitled to

One (1) Concept per Brief for any Graphic Design(s) with NOT more than 300 Pages, Creatives, Frames, Slides or Media Sizes. Additional concepts are available on request at an exclusive fee that will be communicated to you before proceeding. Logo Design Concepts are provided as stated in the selected Logo plan.

Initial Design within 3 working for any Graphic Design(s) with NOT more than 2 Pages, Creatives, Frames, Slides or Media Sizes.

Initial Design within 5 working days for any Graphic Design(s) with 3 or more Pages, Creatives, Frames, Slides or Media Sizes.

One Final Concept per Brief for all Class of Graphic Design except Logo designs for which Final Designs will be developed and uploaded as stated in the selected Logo plan.

5 Reviews per Design Process only. Reviews carried out after 5 Review count will be charged at NGN 1, 000 per Review and cost will be added to the balance payment for the Design Process or Total Process Fee (TPF).

One Offline Formats that attracts a fee of NGN 2,000 extra that will be added to your Total Process Fee (TPF). Additional Offline formats attracts extra charges.

Animated GIF Format with not more than 20 Frames.

10% Print Discount on any Print Invoice Order if the Invoice worth a required value (Order must be made with a BOXgraphics Designs)
PROCESSING FEES AND PAYMENT
All Graphic Designs service are charged at the rates displayed on BOXgraphics Pricing page and payment will be made in Two (2) phases as described below,

Phase One: An initial payment or a Process Commitment Fee (PCF) of MUST be made immediately after submitting a Design Brief for processing. This fee will be deducted from the Total Process Fee (TPF) charged for the design process.

Phase Two: Balance payment for the design process must be made either Online through Paystack or any other payment method (all regarded as Offline Payment). An Invoice will be attached to your brief on the Process page and sent to your email address from where you can make balance payment for your design process to activate a Final Design Download request.
CANCELLATION AND REFUNDS
If you cancel a Design Process before its INITIAL Designs are uploaded for your Review, we will refund you the Process Commitment Fee made, less One Thousand & Five Hundred Naira (NGN 1, 500) as cover for Process Termination Fee (PTF). To do this, you must request a refund by completing a Process Termination Form, available on the process page. Refunds only apply to design processes in which no INITIAL Design has been uploaded for Review. There is no refund for the cancellation of a design process after the INITIAL Designs have been uploaded for review. Also, by submitting a Review Brief for any design process, you completely lose ALL PRIVILEGES & BENEFITS applicable to a Process Termination.
RIGHT TO REJECT BRIEF AND FURTHER REQUESTS.
You acknowledge and agree that we shall have the right (but not the obligation) in our sole discretion, to pre-screen, refuse or remove any Design Process and/or User provided content that violates BOXgraphics Terms or is otherwise objectionable, including, without limitation, projects or content that are illegal, obscene, indecent, pornographic, defamatory, incites religious, racial or ethnic hatred, or violates the rights of others. Any activity that is brought to our attention which appears in our sole judgment to violate the law will be brought to the attention of the proper authorities.

(II) BOXGRAPHICS PREMIUM MODE:
By choosing and subscribing to any BOXgraphics Premium Plan or Creating a Custom Plan you agree to comply with the following Terms.
DESIGN PROCESSING
(A) AS A SIMPLE PLAN PREMIUM USER
For every Design Brief, you create and submit you are entitled to

One Final Concept per Brief for all Class of Graphic Design except Logo designs, for which Final Designs will be developed and uploaded as stated in the selected Logo plan.

3 Concepts per Brief for any Graphic Design(s) with NOT more than 2 Pages, Creatives, Frames, Slides or Media Sizes or 2 Concepts per Brief for any Graphic Design(s) with 3 or more Pages, Creatives, Frames, Slides or Media Sizes, as Initial Design. Logo Design Concepts are provided as stated in the selected Logo plan.

Initial Design uploaded within 1 ½ - 2 working days for any Graphic Design(s) with NOT more than 4 Pages, Creatives, Frames, Slides or Media Sizes.

(NOTE THAT 2 FINAL CONCEPTS APPLIES TO SUPER PLAN PREMIUM USERS ONLY). Logo Design Concepts are provided as stated in the selected Logo plan.

Custom Premium Plans are available on request and you can choose define some of the components of the Plan like the Number Usable Graphic Units (GU), Subscription Billing Frequency, the Number of Initial Designs Concepts per Design Process and the Number of Final Design Concepts Downloadable per Design Process.
For every Design Brief you create and submit as Premium User with a Custom Plan, you are entitled to

PREMIUM PLANS AND GU ASSIGNMENT
All Graphic Designs service are charged at the rates displayed on BOXgraphics Pricing and GU will be assigned as described below,

While Creating Design Request: GU must be assigned as indicated in Premium Process Confirmation Page.

During Review Process: GU will be added to the Total GU Required, where applicable, but you will be pre-informed of the implication in such cases. Do note that if you have LIMITED OR NO GU left on your plan to assign, you will have to Top-up GU for your plan to the minimum required to complete your design process before you can activate Final Design Download request.

While Activating Final Design Download Request: GU must be assigned as required and provided in the billing ticket, with GU for Offline Format (where applicable) and any other required GU applicable to your Design Process. This will also be displayed on the Final GU Confirmation and Assignment Page.
CANCELLATION OF DESIGN PROCESS & GU REFUND
If you cancel a Design Process before its INITIAL Designs are uploaded for your Review, we will refund you the GU Assigned during Process Confirmation. To do this, you must request a refund by completing a Process Termination Form, available on the process page. Refunds only apply to design processes in which no INITIAL Design has been uploaded for Review. There is no GU refund for the cancellation of a design process after the INITIAL Designs have been uploaded for review. Also, by submitting a Review Brief for any design process, you completely lose ALL PRIVILEGES & BENEFITS applicable to a Process Termination.
CANCELLATION OF PREMIUM AND CUSTOM PLANS
Standard Premium Plans:
All Premium plans are renewed automatically. You can cancel your plan at any time before the beginning of the next billing cycle. WE DO NOT OFFER REFUNDS FOR SUBSCRIPTIONS EXCEPT FOR YEARLY SUBSCRIPTIONS. Refunds for Yearly Subscription applies only if 25% or more of the USABLE GRAPHIC UNITs for a year, in the Subscription has NOT been used or allocated to any Design Process and/or a period of 90 days since the plan was activated has not elapsed. In this case, we will refund 75% of the amount paid for the Yearly Subscription with the remainder 25% deducted to cover for Premium Plan Administrative Fee.
Custom Premium Plans:
All Custom plans will renew and run as defined by you. Cancellation will be done either as defined or manually by sending us an Email notification. WE DO NOT OFFER REFUNDS FOR ANY USER DEFINED (CUSTOM) SUBSCRIPTION PLAN.
To cancel any Premium Plan (standard or custom) send an email with the subject heading “CANCEL MY SUBSCRIPTION” to inbox@boxgraphics.com.ng or inbox@billygold.com.ng. To cancel a Premium Yearly plan for a refund the subject of your email should read “CANCEL MY YEARLY SUBSCRIPTION FOR A REFUND”. Your mail must prove that you have an active BOXgraphics Plan by listing your Account Data in the following order:

Refunds for Yearly subscription will be done within 7 working days on successful confirmation of cancellation email in a method that will be agreed thereafter.

SWITCHING BETWEEN PREMIUM PLANS
​
Switching to another Premium plan will render any UNUSED GU in your current plan INVALID and PERMANENTLY LOST. We recommend you exhaust any Unused GU in your current premium plan before switching. During switching your current plan will be temporarily inactive until you have successfully registered your new plan. You must therefore, make sure you complete the payment and registration process of your new plan immediately after clicking the Activate Plan button.

TOPING UP GRAPHIC UNIT (GU)
​
Graphic Units (GUs) can be added to (or Topped Up on) the number of UNUSED GU in a Premium Plan and can be used for any Premium purpose (starting or completing of design processes) in the premium pages within the portal, provided that your Premium plan is still valid or has not expired. DO NOT TOP UP GU to your profile unless you are sure there is enough time available to make use of the extra GUs that will be added to your profile. We will not be responsible for any loss of whatever nature you may incure on expiration of your Premium plan.

(III) PRINTING IN BOXGRAPHICS DESIGN MODE:
For every Print Invoice, you create and submit you are entitled to

10% Discount on any invoice if the BOXgraphics Design was/is being created in PayPro Mode.

10% Discount on any invoice if the BOXgraphics Design was/is being created in Premium Mode and as a Simple Plan user or 20% Discount on any invoice if the BOXgraphics Design was/is being created in Premium Mode and as a Sleek or Super Plan user.

30% Discount on an invoice that is worth NGN 300,000 and above, if the BOXgraphics Design was/is being created in Premium Mode and as a Super plan user.

Print Production and Delivery will be carried out as described or indicated in the submitted Print Invoice Request.
(IV) PRINTING IN USER’S UPLOADED DESIGN MODE:
For every Print Invoice, you create and submit you are entitled to

10% Discount on any invoice if the Invoice is worth a required value.

Print Production and Delivery will be carried out as described or indicated in the submitted Print Invoice Request.
PROCESSING FEES AND PAYMENT
All Print Production service are charged at the rates displayed in Product Pricing and payment will be made in Two (2) phases as described below,

Phase One: 80% initial payment of the Total Print Production Fee, which includes Shipping and Tax. Payment can either be made online via Paystack or offline via Cash Deposit, Cheque or Transfers.

Phase Two: 20% Balance payment of the Total Print Production Fee. This payment can be made either on delivery of the order, if the delivery address on the Print Invoice Request is located within Lagos, else it must be paid before the product is shipped to the delivery address on the Print Invoice Request.
CANCELLATION AND REFUNDS
If you wish to cancel a Print Invoice Request after an Initial Payment has been made, it must be done within 24 hours of making the initial payment by calling +2349024146925 and providing the required accurate details for the Print Invoice Request you intend to cancel. You will then be refunded the amount made as initial payment less NGN 2,000 which cover for process cancellation fee. There is no refund for initial payment made after 24 hours of making the payment. Be informed that clicking the cancel button in the Print Invoice Review Page is not the same calling for the termination of a Print Invoice Request.
RETURN OR REPRODUCTION POLICY
If for any reason you wish to return the printed and delivered product(s), the product(s) must be returned within 48 hours of receiving the printed product(s). We will replace the product(s) at no extra charge, if the cause of the deferment of the returned product(s) was directly caused by us (e.g. Poor Printing Quality). If the cause of the deferment happened during shipping (e.g. Auto Crash or Transit Theft) of the product(s), we will replace the product(s) at a fee that you must make before Reproduction will begin. The fee will be mutually agreed upon and will basically cover 30% of the Total Print Production Fee for the new product(s) that will be produced. If the deferment is cause as a result of lapses from you (e.g. Typographical Error in text provided during design) we will not be responsible for the deferment and in this case, a full payment for the product(s) (Shipping and Tax inclusive) will be required to replace the product(s) if you so wish. We will not be responsible for the cost of shipping the product(s) from you to us.
(G) PAYMENT FOR SERVICE
When you register for or use BOXgraphics, you must pay for the Service via credit or debit card (via Paystack referred to as Online Method), or other payment methods (Cash, Cheque or Transfers all referred to as Offline Method) expressly authorized by us. You will be charged for the Service according to the Service Mode you have selected. If you pay by credit or debit card, you will be required to provide a valid credit or debit card number and other card details when making payments. After making payment Online or Offline, you may be required to Confirm your payment with us (i.e. letting us know you have made payment for Service), by alerting us either by Phone Call, Email, Text or WhatsApp Message or by Submitting a Payment Confirmation Form available on our site to detail your payment transaction and method. We will email you a receipt for your transactions on successful payment confirmation.
Our payment policy may change and we may decide to impose additional fees on Users at any time; however, such additional fees will not apply to Design Processes or Print Invoice Requests submitted before we implement any such change in fees.
All payments for BOXgraphics PayPro are done manually by User. Payment for BOXgraphics Premium will be done automatically at the end of every billing cycle. You will, however, be notified by email before you are billed for the next cycle. Cheques for Offline payments of Premium Plans (Standard or Custom) must be received latest 3 working days before the next billing cycle begins to activate a newly registered Plan or allow Auto-Renewal on an existing plan. User’s Premium Profile will be de-activated if cheque for offline payment of Premium is not received on or before the next billing cycle begins.
(H) REFUNDS.

In addition to the cancellation terms for each mode, refunds will apply only to the actual User for whom a design process is attributed. No refund will be given to any third party or entity. You shall also forfeit the right to a refund if you do not respond in a timely manner to a status notification from us, as described below in Section 1(i). Should you receive a refund, you agree that your acceptance of the refund shall constitute your sole and exclusive remedy with respect to related Service Mode. Additionally, you acknowledge that you will have no right (express or implied) to use any Design, Concept or other work product, content, or media, nor will you have any ownership interest in or to the same.

(I) PROCESS DURATION.
You agree to provide timely responses to any status notifications that we send to you. For responses related to Cancellation and Review of INITIAL Designs, you shall have 24 Hours from the time we send a status notification or upload a content. For all other responses (Review Process & beyond), you shall have 7 days to respond to status notifications or uploaded content. If after 7 days you have failed to respond, we will assume that your project is complete and the project shall be deemed completed. At such time, we will have no further obligation to you, and you will pay us pursuant to the provisions of these Terms. Notwithstanding the foregoing, we reserve the right, in our sole discretion, to terminate your access to all or any portion of this Service, at any time, with or without notice. In the event of such termination, we will determine, in our sole discretion, whether you are entitled to any refund.
2. Eligibility, Access, Use, and Service
(A) ELIGIBILITY REQUIREMENTS.
To register as a Subscribed User or use BOXgraphics as a Free User, you must be at least 18 years of age, agree to these Terms and our Privacy Policy (located at here), and complete the registration procedure. By registering as a Subscribed User, you represent and warrant that you meet these eligibility requirements, that the information you include as part of the registration process is complete and accurate and if you are registering on behalf of an entity, that you are authorized to bind that entity to these Terms. We may accept or reject your registration at our sole discretion.
(B) AUTHORIZATION TO USE; PERMITTED USES.
You may access and use this Service solely in accordance with these Terms and any posted policies and procedures that are posted or otherwise provided in connection with this Service. You may submit Design and Review Briefs and obtain INITIAL or REVIEW Designs either as a registered Subscribed User from the BOXgraphics Portal, as a Free User by generating a Quote with this BOXgraphics Quote Generator or as a Free User by submitting a Trial Design Brief. Any use of this Service is at your sole risk and responsibility. Subject to these Terms, you may (i) display the Service on an Internet access device, and (ii) on an occasional, infrequent and ad hoc basis, and only in circumstances that constitute “fair use” under Nigerian copyright law, print copies of insubstantial portions of this Service.
(C) PROHIBITED USES.
Except as expressly permitted in these Terms and Conditions, you may not display or print the content from this Service and in no event may you broadcast, circulate, distribute, download, perform, publish, rent, reproduce, sell, store, transmit or create decorative works related to this Service. Additionally, you agree to comply with all applicable laws (including, without limitation, any applicable export controls) in connection with your use of this Service, and with such further limitations or rules as may be posted or otherwise provided in connection with this Service. Without limiting the foregoing, you agree not to transmit, distribute, post, communicate or store information or other material on, to or through this Service that (i) is copyrighted, unless you are the copyright owner; (ii) reveals trade secrets, unless you own them; (iii) infringes on any other proprietary or intellectual property rights of others, on the privacy or publicity rights of others, or any statutory right; (iv) is obscene, defamatory, threatening, harassing, abusive, hateful, or embarrassing to any other person or entity; (v) is sexually-explicit; (vi) constitutes advertisements or solicitations of business, chain letters or pyramid schemes; or (vii) contains viruses, Trojan horses, worms, time bombs, or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information. You further agree not to (I) use any incomplete, false or inaccurate biographical information or other information for purposes of registering as a Subscribe User; (II) delete or revise any material or other information of any other user of this Service; (III) take any action that imposes an unreasonable or disproportionately large load on this Service’s infrastructure; (IV) use any device, software or routine to interfere or attempt to interfere with the proper working of the Service or any activity being conducted through this Service; (V) use or attempt to use any engine, software, tool, agent or other device or mechanism (including, without limitation, browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Web Site, other than the search engine and search agents available from us through this Service and other than generally available third-party web browsers (e.g., Microsoft Internet Explorer, Google Chrome); or (VI) attempt to decipher, decompile, disassemble or reverse-engineer any of the software comprising or in any way making up a part of this Service.
(D) SECURITY.
You are prohibited from violating or attempting to violate the security of this Service, including, without limitation, (i) accessing data not intended for you or logging into a server or account that you are not authorized to access; (ii) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iii) attempting to interfere with service to any user, host or network, including, without limitation, by way of submitting a virus to, or overloading, “flooding”, “spamming”, “mailbombing” or “crashing”, this Service; (iv) sending unsolicited email to any user of this Service, including promotions and/or advertising of products or services; or (v) forging any TCP/IP packet header or any part of the header information in any email or posting generated in connection with this Service. Violations of system or network security may result in civil or criminal liability. We will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. We reserve the right to review postings (whether Writings or Submissions) on this Service, to remove any postings, and to terminate your ability to communicate with or post to, this Service at any time without notice, in our sole discretion. We will use commercially reasonable efforts not to disclose any information you communicate with or post to, this Service, but reserve the right to disclose such information to the extent necessary to satisfy any applicable law, regulation, legal process or governmental request, and the right to edit, refuse to post or to remove any information or materials, in whole or in part.
(E) OPERATION OF SERVICES.
We are not responsible for any delays or interruptions of, or errors or omissions contained in, this Service. We reserve the right but are not required, to correct any such delays, interruptions, errors or omissions. Although we intend to use commercially reasonable efforts to make this Service accessible, we make no representation, warranty or covenant that this Service will be available at all times or at any time. We may at any time discontinue this Service in whole or in part, may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. We will not be responsible for any loss, cost, damage or liability that may result from any of the circumstances, actions or inactions described in this paragraph.
3. Registration, Password, Box Profile, BPIN.
(A) BOX PROFILE
When you register for BOXgraphics, you will create a user identity (your “BOX PROFILE“), which will be your identity for purposes of interacting with us through this Service. Your Box Profile will include certain personal information, such as, your Name, Phone, Address (for billing), WhatsApp number (optional) and other information that will be stored as your Box Profile for reference purpose. A User ID (your “PROFILE ID”) an 8 alphanumeric digit (XXXXXXXX) will be automatically generated and added to your Box Profile. This PROFILE ID will be required any time you communicate with us concerning this Service and any other services related to it for support or information. In addition to your Personal Information, you will also be required to create a BOXgraphics PIN (your "BPIN") an 8 digit number with hyphen after the first 3 digits which is 121 (e.g. 121-XXXX). This will be required and used to confirm that all your requests (for INITIAL, REVIEWED, FINAL Designs & Print Invoice Request) are coming from you. We may, however, without your permission, call you (via your Phone Number or by WhatsApp Voice Call) to confirm or make a clarification on/for any request (for Design or Review Briefs, or any other request made, including a request to get FINAL Design & Print Invoice). Do note that, for ease, we will display your PROFILE ID and BPIN on your Profile Overview page and in the Portal Menu header. This is however only seen by you when logged into the portal. You are responsible for ensuring that your BOX PROFILE is safe and is not revealed to any other person. We will under no circumstances reveal or ask you to send your BOX PROFILE to any other user or third party.

(B) PROFILE ID, BPIN AND PASSWORD ACCESS.
You shall keep confidential, shall not disseminate, and shall use solely in accordance with these Terms, your BOX Profile, Profile Id, BPIN and Password for this Service. You shall immediately notify us if you learn of or suspect: (i) any loss or theft of your BOX Profile, Profile Id, BPIN and Password, or (ii) any unauthorized use of your Profile Id, BPIN or Password of this Service. In the event of such loss, theft, or unauthorized use, we may impose on you, at our sole discretion, additional security obligations.
(C) NON DESIGN REQUESTS.
As a Subscribed user, you can make request that is not related to a Design Process (each a "Task Request") from the Premium Portal, instructing us to carry out a task on your behalf or on your account and you will get a response for Task Request (each a "Task Response"). On successful completion of this-this Task, you will be notified by email and sometimes by a Text Message sent to your Phone or WhatsApp number. If no Task Response or notification is received with 24 hours from the time the Task Request was made, it will be your sole responsibility to contact us to find out why a response for such Task Request is been delayed or not attended to. Whenever such Request as this is made you will be required to provide your BGIN and Authorization PIN without which your request may be turned down, denied or treated as invalid in our sole discretion without your approval or notice.
(D) SECURITY BREACHES AND REVISION.

If any unauthorized person obtains access to this Service as a result of any act or omission by you, you shall use your best efforts to ascertain the source and manner of acquisition and shall fully and promptly inform us. You shall otherwise cooperate and assist in any investigation relating to any such unauthorized access.
4. Ownership; Rights to Use
(A) THIS SERVICE GENERALLY.
Except as expressly contemplated under these Terms, as between us and you, we will own all right, title and interest in and to all copyright, trademark, service mark, patent, trade secret or other intellectual property and proprietary rights in and to this Service, and in all Designs (INITIAL, REVIEWED or FINAL), logos and other materials created using this Service, in all media now known or later devised, to the fullest extent provided under Nigerian and international law. You shall not remove, conceal or alter any copyright notice, byline information, disclaimer, restriction or other notice posted in connection with this Service or any portion thereof. You shall not use or permit any third party to use our name, trademarks, trade names, or trade dress, including “Billygold and BOXgraphics”, without our prior written consent, as determined in our sole discretion, for each such use.
(B) DESIGN AND REVIEW BRIEFS.
Submission of a Design or Review Brief or any other information or media provided by you in connection with your use of this Service (collectively, the “User Information“), we and our Members and other agents shall have all rights and licenses necessary to use such User Information for the purpose of obtaining and preparing Designs (INITIAL, REVIEWED OR FINAL) for archival purposes.
(C) OUR RIGHTS.

Upon your submission of User Information to the Service, you grant us and our agents a royalty-free, perpetual, irrevocable, sublicenseable, non-exclusive, worldwide right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display (in whole or in part), and/or incorporate in other works, in any form, media, or technology now known or later developed, such User Information and any FINAL DESIGN, for the full term of any intellectual property rights that may exist in such User Information or the FINAL DESIGN, as applicable.
(D) RIGHTS OF CLIENTS.

Subject to your compliance with these Terms, you shall own the final composition or concept provided to you by us (the “Fina Design“). You shall not, however, own the Design and Review Briefs, individual Designs (INITIAL and REVIEWED) provided to you or any materials, media or other content generated during any Review Process leading up to the FINAL Design, and we expressly reserve all right, title and interest in and to the same. For greater clarity, we retain the rights to all artwork concepts and other content not selected by you. You acknowledge that your ownership rights under these Terms are limited to the FINAL Design and that no ownership interest in any trademarks or service marks contained in or made a part of any FINAL Design are being conveyed under these Terms. You hereby acknowledge that we shall have no obligation or duty to perform trademark, service mark or copyright searches or inquiries, or the like, in order to validate the propriety or legality of the FINAL Design. Accordingly, you are encouraged to perform your own independent searches with regard to the FINAL Design. Furthermore, you acknowledge that we shall have no responsibility or obligation of any kind to assist you in seeking state or federal intellectual property protection (i.e., without limitation, trademark or copyright registration) for the FINAL Design, nor shall we be responsible for otherwise assisting you in any way in your attempt to perfect your rights in or to the FINAL Design.
5. Non-Disclosure and Privacy
We intend to use commercially reasonable efforts to follow our privacy policy, as such privacy policy may be changed from time to time at our sole discretion. Notwithstanding the foregoing, we cannot and do not assume any responsibility or liability for any information submitted to us in connection with this Service or for the use or misuse of any information submitted by you or any other person, including, without limitation, any information accessed by a hacker or by any other malicious act.
6. Disclaimers; Indemnification; Limitations of Liability
(A) RESPONSIBILITY FOR CONTENT.
We shall not be responsible for any use that is or is not made of this Service. Without limiting the foregoing, we make no representations, warranties or covenants regarding, and does not guarantee, the truthfulness, accuracy, or reliability of any information or other material (including, without limitation, any Design Brief, Review Brief, INITIAL, REVIEWED or FINAL Designs or Account Data) that are communicated through, or posted to, this Service, whether by Members, Free or Subscribed Users, us or otherwise, nor do we endorse any opinions expressed by any user of this Service, including any Member or Free/Subscribed User. Without limiting the foregoing, we make no representations, warranties or covenants regarding the validity of the rights to Designs granted pursuant to these Terms. You acknowledge that any reliance on information or other material, including, without limitation, any information related to a particular Service Mode or your Design Process, Design or Review Brief, Designs or Account Data, communicated through or posted in connection with this Service will be at your own risk. Without limiting the foregoing, you agree and acknowledge that you use each Design (INITIAL, REVIEWED OR FINAL) at your own risk and that you are responsible for taking any actions you deem reasonable to determine whether your use of a Design (INITIAL, REVIEWED or FINAL) will infringe any statutory or third-party intellectual property, privacy or publicity rights.
(B) LINKS TO THIRD-PARTY SERVICES.
This Service may contain links to third-party websites or other services (the “Linked Content“). The Linked Content is not under our control and we are not responsible for the Linked Content, including, without limitation, links contained in the Linked Content, or any changes or updates to Linked Content. We are providing Linked Content to you only as a convenience, and the inclusion of such Linked Content is not an endorsement by us of such Linked Content. If you decide to access any Linked Content, you do so at your own risk.
(C) DISCLAIMER OF WARRANTIES.

WE DISCLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY AND ALL SUCH REPRESENTATIONS, AND WARRANTIES, WHETHER EXPRESS OR IMPLIED. This Service serves solely as a venue for the creation of work and we do not regularly screen or censor any information or material posted in connection with this Service. Although we make commercially reasonable efforts to determine the identity of both Free and Subscribed Users, we cannot and does not confirm that any User Free or Subscribed, Member or other user is who they claim to be or that any User, Member or other user has the qualifications he or she claims to have. Because we do not and cannot be involved in user-to-user dealings or control the behavior of participants in connection with this Service, if you have a dispute with one or more users, you hereby release us (and our affiliates, agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
(E) INDEMNIFICATION.

You hereby agree to defend, indemnify and hold harmless us and our subsidiaries, affiliates, officers, agents, co-branders or other partners and employees from any action, claim, demand, or liability arising from or relating to your violation of any of these Terms or use of this Service, and any expenses incurred in connection therewith, including, without limitation, reasonable attorneys’ fees.

OUR TOTAL LIABILITY FOR DAMAGES SHALL BE LIMITED TO THE TOTAL AMOUNT YOU PAID TO US FOR BASED ON SERVICE MODE UNDER THESE TERMS AND CONDITIONS.

By using this Service, you agree to receive, via email or otherwise, status notifications, a monthly newsletter, and carefully selected special offers and promotions for certain products and services that we believe could be of value to our Users. This is essential to maintaining the low-cost of this Service. You are free to unsubscribe from any newsletters we send to you at any time. We may or may not use a third party e-mail to send the e-mail or otherwise contact you, however, your personal identifying information will never be disclosed or shared with another party in a manner inconsistent with our privacy policy.
8. Miscellaneous Provisions
(A) Entire Agreement.

These Terms set forth the entire agreement and understanding of the parties with respect to the subject matter hereof and supersede any and all prior oral or written agreements and understandings, and any and all contemporaneous oral agreements and understandings (excluding any associated agreements required by us (e.g., our privacy policy) as a condition precedent to User’s use of this Service), between you and us regarding the subject matter of these Terms.
(B) Amendment.

No modification, amendment, or waiver of these Terms or any part thereof shall be binding unless evidenced in writing and signed by one of our authorized corporate officers.
(C) Severability.

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, void, or unenforceable, then such provision shall be deemed null and void, but the remaining provisions shall continue in full force without being impaired or invalidated in any way.
(D) Mutual Participation.

The language of these Terms shall be deemed to be the language mutually chosen by the parties and no rule of strict construction shall be applied against or in favor of either party hereto.
(E) Headings.

Section headings and other headings contained herein shall not affect the meaning or interpretation of these Terms.
(F) Choice of Law; Forum.

Terms and Conditions shall be governed by the substantive law of Lagos State, Nigeria without reference to any choice of law rules that would result in the application of the substantive law of any other jurisdiction. The parties agree that any disputes arising out of or relating to these Terms shall be submitted to the federal courts having jurisdiction in Lagos State or state courts having jurisdiction in the area in which such federal courts have jurisdiction, and the parties consent to the personal jurisdiction of such courts with respect to such disputes.

(G) Assignment.

You may not assign or otherwise transfer (by operation of law or otherwise) any of your rights or duties hereunder unless we agree in writing after receiving prior written notice. Any attempted assignment or other transfer without the requisite consent shall be null and void ab initio. We may assign or otherwise transfer any of our rights or the performance of any of our duties without your consent.
(H) Waiver.

The waiver by us of a breach or a violation of any provision of these Terms shall not operate as or be construed to be a waiver of any subsequent breach or violation of any provision of these Terms.
(I) Independent Contractors.

The parties and their respective personnel are and shall be independent contracts and neither party by virtue of these Terms shall have any right, power or authority to act or create any obligation, express or implied, on behalf of the other party.
(J) Force Majeure.

If the performance of any part of these Terms by either party is prevented, hindered, delayed or otherwise made impracticable by reason of any flood, riot, fire, judicial or governmental action, labor disputes, act of God or any other causes beyond the control of either party, that party shall be excused from such to the extent that such performance is prevented, hindered or delayed by such causes.
(K) Capacity.

The parties hereby warrant and represent that they have all necessary rights and authority to execute these Terms and to fulfill their obligations hereunder.
(L) Further Assurances.

The parties hereto shall, at their own cost and expenses, execute and deliver such other documents, artwork, programming code and instruments and shall take such other action as may reasonably be required or appropriate to evidence or carry out the intent and purposes of these Terms.
